Common use of Continued Effectiveness of Representations and Warranties Clause in Contracts

Continued Effectiveness of Representations and Warranties. Each of the Parties shall use its commercially reasonable efforts to take all actions and to do all things necessary, proper or advisable to consummate the transactions contemplated by this Agreement, including using its commercially reasonable efforts to ensure that (i) its representations and warranties remain true and correct through the Closing Date and (ii) the conditions to the obligations of such Party to consummate the transactions contemplated hereby are satisfied.

Continued Effectiveness of Representations and Warranties. Each of the Parties shall use its commercially reasonable efforts to take all actions and to do all things necessary, proper or advisable to consummate the transactions contemplated by this Agreement, including using its commercially reasonable efforts to ensure that (ia) its representations and warranties remain true and correct through the Closing Date Date, provided that Seller and its Affiliates shall not be liable (including under Section 9.2) for any failure to take any actions under this Section 5.6(a), and (iib) the conditions to the obligations of such Party the other Parties to consummate the transactions contemplated hereby are satisfied.
