Satisfactory Business Review. The Company and the Shareholders shall have satisfied themselves, after the Company, the Shareholders and their representatives and advisers have completed the review of business of and the information provided hereby or in connection herewith, or following any discussions with management or representatives of that none of the information revealed thereby has resulted in or in the reasonable opinion of the Company may result in a material adverse change in the assets, properties, business, operations or condition (financial or otherwise) of .
Satisfactory Business Review. The Purchaser shall have satisfied itself, after receipt and consideration of the Schedules and after the Purchaser and its Representatives have completed the review of the Business and the Company contemplated by this Agreement, that none of the information revealed thereby has resulted in, or in the opinion of the Purchaser, may result in, a material adverse change in the assets, properties, business or condition (financial or otherwise) of the Company.
Satisfactory Business Review shall have satisfied itself, after and its representatives have completed the review of the business of the Company contemplated by this Agreement, that none of the information revealed thereby or in the Balance Sheet has resulted in, or in the reasonable opinion of may result in, a material adverse change in the assets, properties, business, operations or condition (financial or otherwise) of the Company.
Satisfactory Business Review. The Company and the Stockholders shall have satisfied themselves, after review of the information provided hereby or in connection herewith, or following any discussions with management or representatives of HNS that none of the information revealed thereby has resulted in or in the reasonable opinion of the Company may result in a material adverse change in the assets, properties, business, operations or condition (financial or otherwise) of HNS.
Satisfactory Business Review. The LLC and their representatives shall have completed the review of the business of Parent and Dissolving Corporation contemplated by this Agreement, that none of the information revealed thereby or in the Financial Statements has resulted in, or in the opinion of them may result in, an adverse change in the assets, properties, business, operations or condition (financial or otherwise) of Parent or Dissolving Corporation.
Satisfactory Business Review. MamaMancini’s and their representatives shall have completed the review of the business of Parent and Merger Sub and none of the information revealed thereby or in the financial statements included in the Parent SEC Documents (as defined herein) and/or delivered to MamaMancini’s prior to the Closing Date has resulted in, or in the opinion of them may result in, an adverse change in the assets, properties, business, operations or condition (financial or otherwise) of Parent or Merger Sub.
Satisfactory Business Review. The Company and the Shareholders shall have satisfied themselves, after the Company, the Shareholders and their representatives and advisers have completed the review of business of Dragon and the information provided hereby or in connection herewith, or following any discussions with management or representatives of Dragon that none of the information revealed thereby has resulted in or in the reasonable opinion of the Company may result in a material adverse change in the assets, properties, business, operations or condition (financial or otherwise) of Dragon.
Satisfactory Business Review. Newagecities shall have satisfied itself, after Newagecities and its representatives have completed the review of the business of the Company contemplated by this Agreement, that none of the information revealed thereby or in the Balance Sheet has resulted in, or in the reasonable opinion of Newagecities may result in, a material adverse change in the assets, properties, business, operations or condition (financial or otherwise) of the Company.
Satisfactory Business Review. Infotec shall have satisfied itself, after review of the information provided hereby or in connection herewith, or following any discussions with management or representatives of the Company and the Stockholders that none of the information revealed thereby has resulted in or in the reasonable opinion of Infotec may result in a material adverse change in the assets, properties, business, operations or condition (financial or otherwise) of the Company.
Satisfactory Business Review. The Company and the Stockholders shall have satisfied themselves, after review of the information provided hereby or in connection herewith, or following any discussions with management or representatives of Infotec that none of the information revealed thereby has resulted in or in the reasonable opinion of the Company may result in a material adverse change in the assets, properties, business, operations or condition (financial or otherwise) of Infotec.
