Continued Truth of Warranties. All of the representations and warranties of Buyer contained herein shall continue to be true and correct at Closing.

The representations and ----------------------------- warranties of Buyer set forth in Article 3 of this Agreement shall be true and correct in all material respects as of the date of this Agreement and as of the Effective Time (as though made on and as of the Effective Time, except (i) to the extent such representations and warranties are by their express provisions made as of a specified date or period, (ii) where the facts which caused the failure of any representation or warranty to be so true and correct have not resulted, and are not likely to result, in a material adverse effect on Buyer and its Subsidiaries, taken as a whole, and (iii) for the effect of transactions contemplated by this Agreement), and Target shall have received a certificate of the President and Chief Executive Officer of Buyer, signing solely in his capacity as an officer of Buyer, to such effect.
