WARRANTIES OF BUYER. Buyer, warrants to Seller as follows:
WARRANTIES OF BUYER. Buyer warrants that Buyer is □ OR is not □ currently under contract (including option contracts) to purchase other real property. Buyer warrants that during the Due Diligence Period Buyer shall □ have the right to enter into other such contracts OR □ not enter into any other such contracts. Buyer shall be in default of the Agreement if Buyer breaches Buyer’s warranties in this subparagraph.

6.2.1 the execution, delivery and performance by the Buyer of this Agreement are within the Buyer’s corporate powers and have been duly authorized by all necessary corporate action on the part of the Buyer;
6.2.2 this Agreement constitutes a valid and binding agreement of the Buyer enforceable against the Buyer in accordance with its terms (subject to applicable bankruptcy, insolvency, fraudulent transfer, reorganization, moratorium and other laws affecting creditors’ rights generally and general principles of equity); and
6.2.3 in connection with its access to the Seller Facility under this Agreement, the Buyer will comply in all material respects with all Applicable Laws (including without limitation applicable environmental and health and safety laws and regulations); and
6.2.4 the Buyer shall comply with the terms of non-solicitation included in Section 5.11 of the Purchase Agreement.
WARRANTIES OF BUYER. Buyer warrants to each Seller as of the date hereof and as of the Closing Date that:
WARRANTIES OF BUYER. Except as otherwise provided or acknowledged in this Agreement, Buyer represents and warrants to and agrees with Seller as follows:
(a) The performance of the obligations of Buyer under this Agreement will not violate any contract, indenture, statute, ordinance, judicial or administrative order or judgment applicable to Buyer.
(b) There is no litigation or proceeding pending, or to the Buyer's knowledge threatened, against or involving the Buyer, and the Buyer does not know or have reason to know of any grounds for any such litigation or proceeding which could have an adverse impact on Seller or Seller's interest in this Agreement.
(c) In entering into this Agreement, Buyer has not relied upon any written or verbal representations of Seller regarding the Premises or any aspect of this transaction which are not expressly set forth in this Agreement.
WARRANTIES OF BUYER. Buyer hereby warrants to the Sellers and Rentassured Sellers that as of the Closing Date each of the following warranties is true, accurate and not misleading:
WARRANTIES OF BUYER. 10.1 In consideration of the Seller entering into this Agreement, the Buyer warrants to the Seller that:-
10.1.1 it is entitled to purchase the Shares on the terms of this Agreement without the consent of any third party;
10.1.2 it has full power to enter into and perform this Agreement and any other agreement which will need to be executed pursuant to this Agreement without the consent or approval of another person, and such documents will, when executed, constitute binding obligations of the Buyer in accordance with their terms subject to the operation of law as regards the availability of equitable remedies and matters of public policy and the application of the relevant statutory provisions, including those regarding limitation periods, insolvency and competition matters;
10.1.3 the execution and delivery of the documents referred to in clause 10.1.2 by the Buyer and the performance of and compliance with their terms and provisions will not:
(i) conflict with or result in a breach of or constitute a default under, any agreement or instrument to which it is a party or by which it is bound or of the constitutional documents of the Buyer; or
(ii) conflict with or result in a breach of any order, writ, injunction, judgment or decree of any court or governmental agency.
WARRANTIES OF BUYER. Except as otherwise provided or acknowledged in this Agreement, Buyer represents and warrants to Seller as follows:
