Continuing Effect of the Agreement. Except as specifically set forth herein, the Agreement shall remain in full force and effect and shall not be waived, modified, superseded or otherwise affected by this Amendment. This Amendment is not to be construed as a release, waiver or modification of any of the terms, representations, warranties, covenants, rights or remedies set forth in the Agreement, except as specifically set forth herein.
Continuing Effect of the Agreement. Except as expressly amended or modified hereby, the provisions of the Agreement are and shall remain in full force and effect and are hereby ratified and confirmed.

Continuing Effect of the Agreement. Except as specifically set forth in this First Amendment, the Agreement shall remain unmodified and in full force and effect.
Continuing Effect of the Agreement. The provisions of the Agreement and the Note that are not expressly amended or modified hereby are and shall remain in full force and effect, and are hereby ratified and confirmed, including without limitation, the negative pledge on assets of the Company as set forth in Section 6.5

This Amendment shall not constitute a waiver, amendment or modification of any other provision of the Agreement not expressly referred to herein and shall not be construed as a waiver or consent to any further or future action on the part of any of the parties that would require a waiver or consent of the other party. Except as expressly amended or modified herein, the provisions of the Agreement are and shall remain in full force and effect.
Continuing Effect of the Agreement. All provisions of the Agreement, except as specifically modified by this Amendment, shall remain in full force and effect and are hereby reaffirmed. This Amendment, including incorporated terms and conditions of the Agreement, contain the entire agreement between Sub-Advisor and Envestnet with respect to the subject matter hereof. Any capitalized terms not herein defined shall have the same meaning given to them as in the Agreement.
Continuing Effect of the Agreement. This Amendment shall not constitute an amendment of any other provision of the Agreement not expressly referred to herein. Except as expressly amended, the Agreement is and shall remain in full force and effect, and this Amendment shall be effective and binding upon the JZH Holders and SolarMax upon execution and delivery by the JZH Holders and SolarMax.
Continuing Effect of the Agreement. Except as expressly modified above, the Agreement remains in full force and effect.
