Contract Reviews. 2.5.4.1 Reseller is expected to conduct quarterly reviews of all sales volumes and report sales figures and savings from Publisher’s list price, by Publisher and by PA, as well as observed trends or purchasing patterns, and to present the information to the LSCA. 2.5.4.2 At the discretion of the individual participating states, an equivalent review, limited to that state, will be presented to the PSCA. 2.5.4.3 All awardees under this contract shall meet once a year with the LSCA and Sourcing Team to review usage and discuss possible revisions of the categorization of publishers based upon actual sales volume, and to discuss any service concerns, industry trends, and the effectiveness of the contract. 2.5.4.3.1 Reseller is expected to conduct a customer satisfaction survey and an audit prior to this discussion and be prepared to discuss the results, and Contract No: ADSPO16-130651 Description: Software Value-Added Reseller (SVAR) Services provide reports, at this review. At a minimum, the audit will report address quoting and billing accuracy, and any Reseller Cost that exceeds a Publisher’s List price for that item. 2.5.4.3.2 Based on historical sales volume information, Reseller should be prepared to discuss potential cost savings opportunities which could be passed through to Participating States.

Contract Reviews. 27 Parties agree to meet during the term of this agreement for the 28 purpose of reviewing work that is contracted out, such as custodial work and the feasibility of 29 such work being performed by bargaining unit employees.
Contract Reviews. The Contractor shall attend an annual meeting with Master Agreement Contract Administrator and sourcing team to review usage and discuss any issues that are occurring, if requested. The Contractor shall meet more often if the Master Agreement Contract Administrator deems necessary. The Contractor shall conduct a customer satisfaction survey and detailed issues encountered during the previous six-month term. The Contractor shall be prepared to discuss overall effectiveness of contract, total sales, potential cost savings opportunities when could be passed through to the Participating Entities. In a renewal year, the annual review will take place prior to contract extensions. It is the Contractors responsibility to schedule meetings. The Contractor Administrator shall schedule the meeting with the Contactor.
Contract Reviews. The Sales Partner shall continue to facilitate communications between the Customer Lead and the Network Contractor until a Contract is fully executed, and after Contract is executed at the request of Quativa or Network Contractor. Sales Partner shall inform the Customer Lead that the Network Contractor is under no obligation to accept any proposal or to enter into a Contract with the Customer Lead. The Network Contractor shall complete Contract Review following completion of the site survey. “Contract Review” means the Network Contractor’s review of financing, system size, verification that the system design meets production needs, that shading is accounted for, and confirmation of any other pre-installation services necessary to complete the installation. Following its Contract Review, the Network Contractor shall approve the proposed Contract, with or without modification or qualification to the proposed Contract, or decline the proposed Contract for any reason (e.g., MPU needed, unpermitted structure, specific roof condition, design production parameters, downsize system due to available roof space, etc.). The Network Contractor and/or Quativa shall reserve the right to reject any proposed Contract in its sole and absolute discretion at any time, and in such event, Sales Partner shall not be entitled to an advance, Commission, or any payment whatsoever. Quativa shall have the right (but not the obligation) to identify an alternate Network Contractor willing to accept the proposed project and request Sales Partner to work with the Customer Lead with the objective of signing a new Contract.

Service providers that may access Personal Data subject to European Union law are required to self-certify to EU-U.S. and EU-Swiss Privacy Shield programs or to execute Standard Contractual Clauses.
Contract Reviews. (a) Within 40 Business Days after the end of a Contract Year, the Contractor and the Subcontractor shall meet to review the Subcontractor's performance of this Agreement in that Contract Year (the Contract Review). The parties agree that the Contract Review will focus on the strategic nature of the Services to the Contractor and the Authority and the importance to the Contractor and the Authority of assessing the performance of its strategic suppliers on a regular basis so that: (i) performance issues can be monitored and addressed as they arise; and (ii) the outcomes and feedback from the Contract Review can be incorporated as applicable or as reasonably requested by the Subcontractor into the Contractor's annual review under the Services Agreement. (b) The Subcontractor shall, for the purposes of Clause 2.4(a), send to the Contractor not less than 40 Business Days prior to the start of the Contract Year a copy of each of: (i) the Annual Service Plan for that Contract Year; (ii) the Service Report for the previous Contract Year completed to the end of the ninth month of that previous Contract Year; (iii) the Continuous Improvement Report for that Contract Year; and (iv) any other written reports that the Contractor or the Authority may reasonably request. (c) The Contractor shall, insofar as reasonably practicable, present the Subcontractor's Annual Service Plan, Service Report and Continuous Improvement Report as part of the Contractor's Service Report under the Services Agreement.

Contract Reviews. Enterprise Services reserves the right to conduct quarterly reviews of Contractor’s sales and prices, and request Contractor to provide copies of Publisher invoices for up to ten percent (10%) of sales in order to validate Reseller Costs.
Contract Reviews. Every three (3) months from the Commencement Date of the Contract, the Company and the Contractor shall meet in a forum where a review of the performance of each party for the previous three (3) months under the Contract can be examined and assessed. This review will examine in particular the appropriateness of the Monthly Performance Parameters as stated in the Schedules as a measure of the Contractor’s performance, the results of ground support testing and quality assessments, the performance, appropriateness and numbers of the Contract Personnel, Plant & Equipment and Goods, any results with respect to safety, productivity and costs and any subsequent alterations required to the Plans and any direct or indirect factors or events that may adversely affect the performance of the Contract.
