Common use of Contracting Parties Assignment Clause in Contracts

Contracting Parties Assignment. (a) The Contracting Parties shall not sell, assign, transfer, charge, mortgage, encumber, dispose of or otherwise alienate all or any part of any interest, whether legal or beneficial, in this Project Agreement, the Construction Contract or any other Implementing Agreement without the prior written consent of Hospital, which consent may be unreasonably withheld or delayed. (b) Section 6.1(a) shall not apply to: (i) the grant of security or any other interest to Lender under any of the Lending Agreements or any agreement collateral thereto between Lender and Contractor; or (ii) any subcontract or any sub-subcontract entered into by Project Co or the Contractor or their subcontractors in connection with the Project.
