Contractor Licence. (a) Where Skills is using your Intellectual Property, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable licence to use your Intellectual Property which is required to carry out the Services under the Contract;. (b) Skills agrees that it will not modify or adapt any of your Intellectual Property in any respect without your consent (other than updating your Intellectual Property to Skills’ brand standards); and (c) You warrant that you have all the rights and authority necessary to grant the licence in this clause and that, by granting this licence to Skills, you do not infringe the intellectual property rights of any third party. You must obtain (at your cost) the grant of any licences from third parties to give effect to the licence you grant Skills.
Contractor Licence. (a) Where Ignite is using your Intellectual Property, you grant us a non-exclusive, royalty-free, perpetual, and irrevocable licence to use your Intellectual Property which is required to carry out the Services under the Contract;. You must obtain (at your cost) the grant of any licences from third parties to give effect to the licence you grant Ignite.
Contractor Licence. The Contractor: 37.2.1 hereby grants to both Councils an irrevocable, transferable, non-exclusive royalty free licence (carrying the right to grant sub-licences) to use all and any Intellectual Property Rights which are or which become vested in the Contractor for any purpose relating to the Project; and 37.2.2 where any Intellectual Property Rights relating to the Project, the Works or the Waste Management Facilities are vested in any third party, shall use its reasonable endeavours to procure the grant of a like licence to the Councils for the purposes referred to in clause 37.2.1.

Contractor Licence. The Contractor: (a) hereby grants to the Council an irrevocable, transferable (only to a person to whom the Council has transferred its rights and obligations in accordance with clause 67 (Assignment and Sub- Contracting)), non-exclusive royalty free licence (carrying the right to grant sub-licences) to use all and any Intellectual Property Rights which are or which become vested in the Contractor but only for any purpose relating to the Services excluding any Viridor trademark in relation to the period until the Expiry Date or earlier termination of this Contract, or as otherwise necessary to allow the Council to enforce its rights under this Contract; and (b) where any Intellectual Property Rights relating to the Services are vested in any third party, shall use its reasonable endeavours to procure the grant of a like licence to the Council for the purposes referred to in clause 38.2(a).

  • Contractor If COUNTY elects to renegotiate this Agreement due to reduced or terminated 20 funding, CONTRACTOR shall not be obligated to accept the renegotiated terms.

  • Contractor Key Personnel ‌ The Contractor shall assign a Corporate OASIS SB Program Manager (COPM) and Corporate OASIS SB Contract Manager (COCM) as Contractor Key Personnel to represent the Contractor as primary points-of-contact to resolve issues, perform administrative duties, and other functions that may arise relating to OASIS SB and task orders solicited and awarded under OASIS SB. Additional Key Personnel requirements may be designated by the OCO at the task order level. There is no minimum qualification requirements established for Contractor Key Personnel. Additionally, Contractor Key Personnel do not have to be full-time positions; however, the Contractor Key Personnel are expected to be fully proficient in the performance of their duties. The Contractor shall ensure that the OASIS SB CO has current point-of-contact information for both the COPM and COCM. In the event of a change to Contractor Key Personnel, the Contractor shall notify the OASIS SB CO and provide all Point of Contact information for the new Key Personnel within 5 calendar days of the change. All costs associated with Contractor Key Personnel duties shall be handled in accordance with the Contractor’s standard accounting practices; however, no costs for Contractor Key Personnel may be billed to the OASIS Program Office. Failure of Contractor Key Personnel to effectively and efficiently perform their duties will be construed as conduct detrimental to contract performance and may result in activation of Dormant Status and/or Off-Ramping (See Sections H.16. and H.17.).

  • Contractor Project Manager The Contractor Project Manager shall serve, from the Effective Date, as the Contractor project manager and primary Contractor representative under this Agreement. The Contractor Project Manager shall (i) have overall responsibility for managing and coordinating the performance of Contractor’s obligations under this Agreement, including the performance of all Subcontractors; and (ii) be authorized to act for and bind Contractor and Subcontractors in connection with all aspects of this Agreement. The Contractor Project Manager shall respond promptly and fully to all inquiries from the JBE Project Manager.
