CONTRACTOR RESPONSIBILITY FOR ASSOCIATED COSTS. If HHSC terminates the Agreement for Cause, the CONTRACTOR will be responsible to HHSC for all costs incurred by HHSC, the State of Texas, or any of its administrative agencies to replace the CONTRACTOR. These costs include, but are not limited to, the costs of procuring a substitute vendor and the cost of any claim or litigation that is reasonably attributable to CONTRACTOR’s failure to perform any Service in accordance with the terms of the Agreement

CONTRACTOR RESPONSIBILITY FOR ASSOCIATED COSTS. If HHSC terminates the this Agreement for Causepursuant to paragraph (a)(i) of this section, the CONTRACTOR will be responsible to HHSC for all costs incurred by HHSC, the State of Texas, Texas or any of its administrative agencies to replace the CONTRACTOR. These costs include, but are not limited to, the costs of procuring a substitute vendor following termination of this Agreement and the cost of any claim or litigation that is reasonably attributable to CONTRACTOR’s 's failure to perform any Service in accordance with the terms of the Agreement.
