The Seller shall have obtained at or prior to the First Closing all consents, if any, required for the consummation of the transactions to be consummated hereunder at the First Closing from any party to any contract, agreement, instrument, lease, license, arrangement, or understanding to which the Seller or any of its consolidated subsidiaries or consolidated affiliates (each, a "Subsidiary", and collectively, the "Subsidiaries") is a party, or to which any of them or any of their respective businesses, properties, or assets are subject.
