Contribution and Acceptance of New Equity Proceeds. Subject to the terms and conditions contained in this Agreement, GREAT agrees to contribute to the Operating Partnership, and the Operating Partnership agrees to accept, up to $30 million, which amount shall equal the gross proceeds of a private placement by GREAT of up to 3,333,333 Common Shares to one or more investors ("New Equity Proceeds").

  • Issuance of New Certificates to Pledgee A pledgee of Shares transferred as collateral security shall be entitled to a new certificate if the instrument of transfer substantially describes the debt or duty that is intended to be secured thereby. Such new certificate shall express on its face that it is held as collateral security, and the name of pledgor shall be stated thereon, who alone shall be liable as a Shareholder and entitled to vote thereon.

  • Initial Contribution of Trust Property; Fees, Costs and Expenses The Property Trustee acknowledges receipt from the Depositor in connection with the Original Trust Agreement of the sum of ten dollars ($10), which constituted the initial Trust Property. The Depositor shall pay all fees, costs and expenses of the Trust (except with respect to the Trust Securities) as they arise or shall, upon request of any Trustee, promptly reimburse such Trustee for any such fees, costs and expenses paid by such Trustee.
