Control of Mud Program. Subject to the provisions of Article 7.4, Contractor shall support mud service and mud logging service to use and maintain a drilling fluid with properties in accordance with any specifications made by or acceptable to Company. Should the drilling fluid properties during drilling prove inadequate, Contrac- tor shall immediately contact Company's and drilling fluid service company’s Representative, if any, to inform them of such situation. In the event Company's Representative is not available, Contractor shall have the duty to improve the drilling fluid properties to the best of its knowledge, or in accord- ance with the drilling fluid service company. Said drilling fluids programs specified by Company shall be determined in accordance with Interna- tional Good Oil Field Practice. Company may modify its mud program while drilling is in progress provided any modification thereof which materially increases Contractor's costs of performing its ob- ligations hereunder can only be made by mutual consent of the Parties hereto.

Control of Mud Program. COMPANY, at its discretion, may check and control the CONTRACTOR's implementation of the mud program. CONTRACTOR shall take all reasonable care to use and maintain the mud with properties in accordance with any specifications made by, or acceptable to, COMPANY.

  • Control of Defense At its option, the indemnifying Party may assume the defense of any Third Party Claim by giving written notice to the Indemnified Party within thirty (30) days after the indemnifying Party's receipt of an Indemnification Claim Notice. In the event that it is ultimately determined that the indemnifying Party is not obligated to indemnify, defend or hold harmless an Indemnified Party from and against the Third Party Claim, the Indemnified Party shall reimburse the indemnifying Party for any and all costs and expenses (including attorneys' fees and costs of suit) and any Losses incurred by the indemnifying Party in its defense of the Third Party Claim with respect to such Indemnified Party.

  • Notice of Change in Control or Control Event The Company will, within five Business Days after any Responsible Officer has knowledge of the occurrence of any Change in Control or Control Event, give written notice of such Change in Control or Control Event to each holder of Notes unless notice in respect of such Change in Control (or the Change in Control contemplated by such Control Event) shall have been given pursuant to subparagraph (b) of this Section 8.3.
