Controlled Group or Affiliated Service Group. Except as disclosed on Schedule 2.16(a), no entity, other than the Company or any of its Subsidiaries, would, together with the Company or any of its Subsidiaries, now or in the past six years constitute a single employer within the meaning of Section 414 of the Internal Revenue Code of 1986, as amended (the "Code"). The Company and its Subsidiaries and any other entities which now or in the past six years constitute a single employer within the meaning of Code Section 414 are hereinafter collectively referred to as the "Company Group."

  • Controlled Group All trades or businesses (whether or not incorporated) under common control that, together with the Borrower, are treated as a single employer under Section 414(b) or 414(c) of the Code or Section 4001 of ERISA.

  • ERISA Affiliate Any Person which is treated as a single employer with the Borrower under §414 of the Code.

  • Affiliated Entities As used in this Agreement, "Company" shall include the Company and each corporation, limited liability company, partnership, or other entity that is controlled by the Company, or is under common control with the Company (in each case "control" meaning the direct or indirect ownership of 50% or more of all outstanding equity interests), provided, however, that the Executive's title need not be identical for each of the affiliated entities nor the same as that for the Company.

  • Participation in Employee Benefit Plans The Executive shall be permitted during the Term, if and to the extent eligible, to participate in any group life, hospitalization or disability insurance plan, health program, or any pension plan or similar benefit plan of the Company, which is available generally to other senior executives of the Company.
