Common use of Conveyance on Termination Clause in Contracts

Conveyance on Termination. At the termination of this Agreement, including the closing of the purchase pursuant to the exercise of the option to purchase granted herein, and upon receipt of the purchase price, the County shall deliver to the Company or its designee within the 60 day notice period referred to in Section 11.1 documents conveying to the Company or its designee limited warranty title to that portion of the Facilities being purchased, as such property then exists, subject to the following: (i) those liens and encumbrances (if any) to which title to said property was subject when conveyed to the County; (ii) those liens and encumbrances created by the Company; and (iii) Permitted Encumbrances. The documents aforementioned shall be in form and substance reasonably satisfactory to the Company and the Company’s counsel.
