Common use of Conveyance Taxes Clause in Contracts

Conveyance Taxes. Acquiror and the Company shall cooperate in the preparation, execution and filing of all returns, questionnaires, applications, or other documents regarding any real property transfer or gains, sales, use, transfer, value added, stock transfer and stamp taxes, any transfer, recording, registration and other fees, and any similar taxes which become payable in connection with the transactions contemplated hereby that are required or permitted to be filed on or before the Effective Time.

Conveyance Taxes. Acquiror The Company, COL and the Company Holders shall cooperate in the preparation, execution and filing of all returns, questionnaires, applications, applications or other documents regarding any real property transfer or gains, sales, use, transfer, value added, stock transfer and stamp taxes, any transfer, recording, registration and other fees, and any similar taxes which become payable in connection with the transactions contemplated hereby that are required or permitted to be filed on or before the Effective Time.

Conveyance Taxes. Acquiror and the Company shall cooperate in the preparation, execution and filing of all returns, questionnaires, applications, or other documents regarding any real property transfer or gains, sales, use, transfer, value added, stock transfer and stamp taxes, any transfer, recording, registration and other fees, and any similar taxes which become payable in connection with the transactions contemplated hereby that are required or permitted to be filed on or before the Effective Time, and the Company shall be responsible for the payment of all such taxes and fees.

Acquiror The Purchaser and the Company Corporation shall cooperate in the preparation, execution and filing of all returns, questionnaires, applications, applications or other documents regarding any real property transfer or gains, sales, use, transfer, value added, stock transfer and stamp taxesTaxes, any transfer, recording, registration and other fees, and any similar taxes Taxes which become payable in connection with the transactions contemplated hereby by this Agreement that are required or permitted to be filed paid on or before the Effective Time.

Acquiror Acquisition and the Company shall cooperate in the preparation, execution and filing of all returns, questionnaires, applications, or other documents regarding any real property transfer or gains, sales, use, transfer, value added, stock transfer and stamp taxes, any transfer, recording, registration and other fees, and any similar taxes which become payable in connection with the transactions contemplated hereby by this Agreement that are required or permitted to be filed on or before the Effective Time.

Acquiror Purchaser and the Company shall cooperate in the preparation, execution and filing of all returns, questionnaires, applications, applications or other documents regarding any real property transfer or gains, sales, use, transfer, value added, stock transfer and stamp taxes, any transfer, recording, registration and other fees, and any similar taxes (collectively, the "Transfer Taxes") which become payable in connection with the transactions contemplated hereby that are required or permitted to be filed on at or before the Effective Time. Purchaser or the Surviving Corporation shall pay all Transfer Taxes imposed in connection with the transactions contemplated hereby.

Acquiror Purchaser, the Company, the Shareholders and the Company Shareholders’ Representative shall cooperate in the preparation, execution and filing of all returns, questionnaires, applications, applications or other documents regarding any real property transfer or gains, sales, use, transfer, value added, stock transfer and or stamp taxes, any transfer, recording, registration and or other fees, and fees or any similar taxes which become payable in connection with the transactions contemplated hereby by this Agreement that are required or permitted to be filed on or before the Effective TimeClosing. All such taxes will be paid by the party bearing the legal responsibility for such payment.
