Cooperate in Legal Proceedings. Except with respect to any claim by any Borrower against Lender, such Borrower and Operating Lessee shall cooperate with Lender with respect to any proceedings before any Governmental Authority which may in any way affect the rights of Lender hereunder or any rights obtained by Lender under any of the Loan Documents and, in connection therewith, not prohibit Lender, at its election, from participating in any such proceedings.

Cooperate in Legal Proceedings. Except with respect to any claim by any Borrower Borrower, the Member or the Guarantor against Lender, such Borrower and Operating Lessee shall reasonably cooperate with Lender with respect to any proceedings before any Governmental Authority which may that are reasonably likely to in any way materially affect the rights of Lender hereunder or any rights obtained by Lender under any of the Loan Documents and, in connection therewith, shall not prohibit Lender, at its election, from participating in any such proceedings.
