COOPERATION IN PREPARATION OF REGISTRATION STATEMENT. (a) The Shareholders and the Company shall furnish or cause to be furnished to Fenix all information concerning the Shareholders and the Company that may be reasonably required or requested for inclusion in the Registration Statement, and will cooperate with Fenix and the Underwriters in the preparation of the Registration Statement and the prospectus included in the Registration Statement. (b) If at any time during the period in which a prospectus relating to the IPO is required to be delivered under the Securities Act, any information contained in the prospectus concerning the Shareholders or the Company becomes inaccurate or incomplete in any material respect, the Shareholders and the Company shall promptly so advise Fenix and provide the information necessary to correct any such inaccuracy or to complete any such incomplete information. Fenix shall give the Shareholders and the Company an opportunity to review and comment on the Registration Statement and all amendments prior to their being filed.

COOPERATION IN PREPARATION OF REGISTRATION STATEMENT. (a) The Shareholders Shareholder and the Company shall furnish or cause to be furnished to Fenix F5 Finishes all information concerning the Shareholders Shareholder and the Company that may be reasonably required or requested for inclusion in the Registration Statement, and will cooperate with Fenix F5 Finishes and the Underwriters in the preparation of the Registration Statement and the prospectus included in the Registration Statement. (b) If at any time during the period in which a prospectus relating to the IPO is required to be delivered under the Securities Act, any information contained in the prospectus concerning the Shareholders Shareholder or the Company becomes inaccurate or incomplete in any material respect, the Shareholders Shareholder and the Company shall promptly so advise Fenix F5 Finishes and provide the information necessary to correct any such inaccuracy or to complete any such incomplete information. Fenix F5 Finishes shall give the Shareholders Shareholder and the Company an opportunity to review and comment on the Registration Statement and all amendments prior to their being filed.

(a) The Shareholders and the Company Vendors shall furnish or cause to be furnished to Purchaser and Fenix all information concerning the Shareholders Vendors and the Company Standard Companies that may be reasonably required or requested for inclusion in the Registration Statement, and will cooperate with Purchaser, Fenix and the Underwriters in the preparation of the Registration Statement and the prospectus included in the Registration Statement. (b) If at any time during the period in which a prospectus relating to the IPO is required to be delivered under the Securities Act, any information contained in the prospectus concerning the Shareholders or the Company becomes inaccurate or incomplete in any material respect, the Shareholders Vendors and the Company Standard Companies shall promptly so advise the Purchaser and Fenix and provide the information necessary to correct any such inaccuracy or to complete any such incomplete information. Fenix shall give the Shareholders Vendors and the Company Standard Companies an opportunity to review and comment on the Registration Statement and all amendments prior to their being filed.

(b) If at any time during the period in which a prospectus relating to the IPO is required to be delivered under the Securities Act, any information contained in the prospectus concerning the Shareholders or the Company becomes inaccurate or incomplete in any material respect, the Shareholders and the Company shall promptly so advise Fenix and provide the information necessary to correct any such inaccuracy or to complete any such incomplete information.
