Common use of Cooperation in the Event of Third-Party Challenge Clause in Contracts

Cooperation in the Event of Third-Party Challenge. In the event any administrative, legal or equitable action or proceeding is instituted by any party other than the City or Developer challenging the validity or performance of any provision of this Agreement, the Project, the Approvals or Subsequent Approvals, the adoption or certification of the FEIR or other actions taken pursuant to CEQA, or other approvals under Laws relating to the Project, any action taken by the City or Developer in furtherance of this Agreement, or any combination thereof relating to the Project or any portion thereof ("Third-Party Challenge"), the Parties shall cooperate in defending against such challenge. The City shall promptly notify Developer of any Third-Party Challenge instituted against the City.

Cooperation in the Event of Third-Party Challenge. 8.3.1 In the event any administrative, legal or equitable action or proceeding is instituted by any party other than the City or Developer challenging the validity or performance of any provision of this Agreement, the Project, the Basic Approvals or Subsequent Implementing Approvals, the adoption or certification of the FEIR or FEIR, other actions taken pursuant to CEQA, or other approvals under Laws relating to the ProjectState or City codes, any action taken by the City or Developer in furtherance of this Agreementstatutes, codes, regulations, or requirements, and any combination thereof relating to the Project or any portion thereof ("“Third-Party Challenge"”), the Parties shall cooperate in defending against such challenge. The City shall promptly notify Developer of any Third-Party Challenge instituted against the City.
