Involvement of third parties. A Party that enters into a subcontract or otherwise involves third parties (including but not limited to Affiliated Entities) in the Project remains responsible for carrying out its relevant part of the Project and for such third party’s compliance with the provisions of this Consortium Agreement and of the Grant Agreement. It has to ensure that the involvement of third parties does not affect the rights and obligations of the other Parties under this Consortium Agreement and the Grant Agreement.

Involvement of third parties. A Party is only allowed to involve third parties in the execution of its work under the Project upon prior approval thereof by the other Parties. A Party that involves third parties (including, but not limited to, Affiliates) in the Project shall at all times remain responsible for the execution of its relevant part of the Project and for such third party’s compliance with the provisions of this Consortium Agreement. Such Party shall ensure that the involvement of third parties does not affect the rights and obligations of the other Parties under this Consortium Agreement.

Third party means any entity (whether Affiliated Entity or other Participant) which is not a signatory to this Consortium Agreement. A Party involving a third party retains sole responsibility towards the Granting Authority and other Parties. Parties involving third parties have to ensure that Access rights of the other Parties regarding Background and Results are not impacted. A Party in that case also has to ensure that the Granting Authority, the European Court of Auditors (ECA) and the European Anti-fraud Office (XXXX) can exercise their rights under Article 25 of the MGA also towards the third parties. Be aware – in cases where MGA Annex 3a (Declaration on joint and several liability of Affiliated Entities) has been signed by Affiliated Entities, we recommend having the Affiliated Entities sign an equivalent declaration form.

Involvement of third parties. SkyCell is entitled to involve third parties for the purpose of meeting its contractual obligations. This shall, in particular, apply to hosting services. SkyCell shall not accept any liability for the services of third parties involved to the extent legally permissible.
Involvement of third parties. The Agreement may not be assigned by any Party without the prior written consent of the other Party; provided, however, that no such consent shall be required if such assignment is to a person that is (a) the acquirer of substantially all of the assets of the assigning Party; or (b) an entity that controls, is controlled by, or is under common control with, the assigning Party. The Supplier shall not have the right to subcontract the performance of its obligations under the Agreement without the prior written consent of Company. If Company gives its consent, the Supplier shall remain jointly and severally responsible and liable for performance of the Agreement for the actions and omissions of a subcontractor.
Involvement of third parties. The EETS provider may involve the partners known at the time of contract conclusion (see Annex 3) as third parties for the performance of this contract. If the EETS provider wishes to involve other or additional partners, it must inform the FOCBS in good time beforehand. The FOCBS may refuse this involvement for justified reasons. Where the EETS provider delegates tasks to the third party, it must transfer to the third party all obligations arising from this contract that are associated with the task. This applies in particular to compliance with the provisions on data protection and data security (section 13 below) and to the obligations arising from the FOCBS's rights of inspection and review (section 15 below).
