Cooperation of the Issuer and Trustee. The Issuer and Trustee will cooperate fully with the Company in filing any proof of loss with respect to any insurance policy covering casualty losses and in the handling and conduct of any litigation arising with respect thereto, and will, to the extent they may lawfully do so, permit the Company to litigate in any such litigation or proceeding in the name and on behalf of the Trustee, provided that the Issuer will not be required to prosecute any such litigation. The Trustee will cooperate fully with the Company in the handling and conduct of any prospective or pending condemnation proceedings affecting the Facility, and will, to the extent it may lawfully do so, permit the Company to litigate in any such litigation or proceeding in the name and on behalf of the Trustee. In no event will the Issuer or Trustee voluntarily settle or consent to the settlement of any proceeding arising out of any insurance claim or any prospective or pending condemnation proceeding with respect to the Facility without the written consent of the Company. Cooperation of the Issuer and Trustee. So long as no Event of Default has occurred and is continuing and subject to the provisions in the Security Documents, the Issuer and Trustee will cooperate fully with the Borrowers in filing any proof of loss with respect to any insurance policy covering casualties referred to in Section 6.06 and in the handling and conduct of any litigation arising with respect thereto, and will, to the extent they may lawfully do so, permit the Borrowers to litigate in any such litigation or proceeding in the name and on behalf of the Trustee, provided that the Issuer will not be required to prosecute any such litigation. So long as no Event of Default has occurred and is continuing, the Trustee will cooperate fully with the Borrowers in the handling and conduct of any prospective or pending condemnation proceedings affecting the Project, and will, to the extent it may lawfully do so, permit the Borrowers to litigate in any such litigation or proceeding in the name and on behalf of the Trustee. So long as no Event of Default has occurred and is continuing, in no event will the Issuer or Trustee voluntarily settle or consent to the settlement of any proceeding arising out of any insurance claim, or any prospective or pending condemnation proceeding, with respect to the Project without the written consent of the Borrower, which consent shall not be unreasonably withheld.

Provided that no Event of Default has occurred and is continuing hereunder, neither the Trustee nor the Issuer will voluntarily settle or consent to the settlement of any proceeding arising out of any insurance claim, or any prospective or pending condemnation proceeding, with respect to the Project or any part thereof without the prior written consent of the Company.
