Cooperation Upon Termination. Upon the termination or expiration of this Agreement, Manager shall, at Owner’s expense, cooperate with and assist Owner and any successor management company in a smooth and orderly transition in the management and operation of the Hotel in a manner consistent with past practices for day-to-day operations. In connection therewith, Manager shall cooperate to transfer to Owner, to the extent assignable under applicable Legal Requirements, all of Manager’s right, title and interest in and to all restaurant, liquor and other licenses and permits relating solely and specifically to the Hotel.
Cooperation Upon Termination. Upon the Executive’s termination of employment for any reason, Executive shall cooperate as reasonably requested by the Board to effect an orderly transition.
Cooperation Upon Termination. If this Agreement is terminated for any reason, the parties agree to cooperate with one another and to take all actions necessary to rescind this Agreement and return the parties to the status quo ante.
Cooperation Upon Termination. If a successor custodian for one or more Portfolios shall be appointed by the Board of the Fund, the Custodian and the Fund, on behalf of any applicable Portfolio(s) agree, upon termination and the Custodian’s receipt of instructions from the Fund, to reasonably cooperate to deliver to such successor Custodian, the records of the Fund and/or the Portfolios as reasonably requested by the Fund. Each of the Custodian and the Fund, on behalf of any applicable Portfolio(s), agrees to reasonably cooperate with the successor custodian in the execution of such documents and the performance of such other necessary actions as may reasonably be requested by the successor custodian or the Fund in order to substitute the successor custodian for the Custodian, provided, however, that any special or unduly burdensome arrangements, and any expenses associated therewith, shall be subject to good faith negotiation and mutual agreement by the parties hereto. All reasonable out-of-pocket expenses associated with the transfer of the custodian services hereunder upon termination hereof shall be borne by the respective Portfolios (except as may be specifically and mutually agreed in writing by the parties in relation to such special arrangements).
Cooperation Upon Termination. Upon termination of this Technical Assistance Agreement, the Corporation shall cooperate with CMG in transferring CMG Trade Secrets to CMG or its designated assignee; and CMG and the Corporation shall cooperate with NTI and NTI ASEAN in transferring NTI Intellectual Property Rights, and NT! and/or NTI ASEAN Trade Secrets to NTI, NTI ASEAN or their designated assignee.
Cooperation Upon Termination. Without limiting the foregoing, upon termination of this Agreement for any reason, each party shall assist the other party in the orderly termination of this Agreement and the transfer of all aspects hereof, tangible and intangible, as may be necessary for the orderly, non-disrupted business continuation of each party.
Cooperation Upon Termination. Upon the termination of this Agreement for any reason, the parties agree to cooperate in good faith to wind down the program in a commercially reasonable way. Customer’s obligation to pay for all outstanding amounts incurred before the effective date of termination shall survive termination. Customer acknowledges that upon termination for any reason, the Customer can no longer order Cards, and the existing Cards stay in effect, unless the Cardholder makes a cancellation election pursuant to the terms of the Cardholder Agreement.
Cooperation Upon Termination. Upon the expiration of the Term or termination of this Agreement for any reason, Flextronics shall use commercially reasonable efforts to assist Xerox for up to three (3) months following such expiration or termination with the reasonable requests and requirements of Xerox in connection with such termination or expiration including but not limited to: (i) an orderly transition to any supplier of the Products required by Purchasers, (ii) an orderly demobilization of its own operations in connection with such Products, (iii) the provision of Products during any transition period, and (iv) the actions set forth on Schedule 16.3 hereto. In the event that such expiration or termination is as a result of either party declining to renew this Agreement or a Xerox Event of Default, then Xerox shall pay to Flextronics Flextronics' reasonable costs and expenses incurred in providing such services and cooperation, and in the event that such expiration or termination is as a result of a Flextronics Event of Default, then Flextronics shall provide such services and cooperation to Xerox free of charge.
Cooperation Upon Termination. Following notice of termination of this Agreement, Consultant shall fully cooperate with Company in all matters relating to the winding up of Consultant's pending work on behalf of Company and the orderly transfer of such pending work to such other employees as may be designated by Company.
Cooperation Upon Termination. Upon termination of this Agreement, the Company shall cooperate with The Xxxxxxxx Trust transferring any The Xxxxxxxx Trust Intellectual Property Rights, and The Xxxxxxxx Trust Trade Secrets, to The Xxxxxxxx Trust or its designated assignee.
