Coordination and Other Obligations. Seller will: (a) regularly consult with Buyer regarding the performance of Services and/or Delivery of Goods, including providing regular updates to Buyer on the status of all deliveries; and (b) fully co-operate with, and co-ordinate Services with the work and services of Buyer and Buyer’s consultants, contractors, and agents working in the vicinity where Services are being performed.

  • Fees and Other Charges (a) The Borrower will pay a fee on all outstanding Letters of Credit at a per annum rate equal to the Applicable Margin then in effect with respect to Eurodollar Loans under the Revolving Facility, shared ratably among the Revolving Lenders and payable quarterly in arrears on each Fee Payment Date after the issuance date. In addition, the Borrower shall pay to the Issuing Lender for its own account a fronting fee of 0.25% per annum on the undrawn and unexpired amount of each Letter of Credit, payable quarterly in arrears on each Fee Payment Date after the issuance date.
