Common use of CORAF Arrangements: Subsidiary Grant Agreement Clause in Contracts

CORAF Arrangements: Subsidiary Grant Agreement. (a) For the purposes of carrying out Parts 1.2, 1.5, 3.1(a) and 4(i) of the Project, the Recipient shall make the proceeds of the Financing allocated from time to time to Categories (2)(a) and (4) available to CORAF on a grant basis under a subsidiary grant agreement to be entered into between the Recipient and CORAF, under terms and conditions approved by the Association (“Subsidiary Grant Agreement”). (b) The Recipient shall exercise its rights and carry out its obligations under the Subsidiary Grant Agreement in such manner as to protect the interests of the Recipient and the Association and to accomplish the purposes of the Financing. Except as the Association shall otherwise agree, the Recipient shall not assign, amend, abrogate or waive the Subsidiary Grant Agreement or any of its provisions.
