Common use of Corporate Approval Clause in Contracts

Corporate Approval. The execution and delivery of this Agreement by Purchaser, and the performance of its covenants and obligations hereunder, shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser shall have received copies of all resolutions pertaining to that authorization, certified by the secretary of Purchaser.

Corporate Approval. The execution and delivery of this Agreement by Purchaser, the Seller and the performance of its covenants and obligations hereunderunder this Agreement, shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser shall have received copies of all resolutions pertaining to that authorization, certified by the secretary of Purchaser.

The execution and delivery of this Agreement agreement by PurchaserSellers and Corporation, and the performance of its covenants Sellers' and Corporation's respective obligations hereunderunder it, shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser Buyer shall have received copies of all resolutions or actions pertaining to that authorization, certified by the secretary of Purchaser.

The execution and delivery of this Agreement by PurchaserSeller and Holdings, and the performance of its covenants and obligations hereunder, shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser shall have received copies of all resolutions pertaining to that authorization, certified by the secretary of PurchaserSeller and Holdings.

Corporate Approval. The execution and delivery of this Agreement by PurchaserSellers, and the performance of its Sellers' covenants and obligations hereunderunder this Agreement, shall have been duly authorized by all necessary and required corporate and shareholder action, and Purchaser shall have received copies of all resolutions pertaining to that authorization, certified by the secretary of Purchaser.

The execution and delivery of this Agreement by Purchaser, Buyer and the performance of its covenants and obligations hereunder, under it shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser shall have received copies of all resolutions pertaining to that authorization, certified by the secretary of Purchaser.

The execution and delivery of this agreement by Buyer, certified and the performance of Buyer's obligations under it, shall have been duly approved by the secretary Buyer's board of Purchaserdirectors.

The execution and delivery of this Agreement by Purchaserthe Buyer, and the performance of its covenants and obligations hereunder, shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser the Sellers shall have received copies a certificate of all the corporate secretary or assistant secretary of the Buyer to the effect that the attached resolutions pertaining to such authorization have not been revoked, modified, amended or rescinded and are still in full force and effect and that authorization, certified by the secretary of Purchaserall other necessary action has been taken.

Corporate Approval. The execution and delivery of this Agreement by PurchaserCompany, and the performance of its covenants and obligations hereunderunder it, shall have been duly authorized by all necessary corporate and shareholder action, including written approval by its Board of Directors, and Purchaser Buyer shall have received copies of all resolutions pertaining to that authorizationreceived, certified upon prior request, a certificate issued by the secretary of PurchaserCompany attesting to such action.

The execution and delivery of this Agreement by Purchaser, Acquiror and the performance by Acquiror of all of its covenants and obligations hereunder, hereunder shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser shall have received copies action on the part of all resolutions pertaining to that authorization, certified by the secretary of PurchaserAcquiror.

Corporate Approval. The execution and delivery of this Agreement by PurchaserSeller, ------------------ and the performance of its covenants and obligations hereunderunder it, shall have been duly authorized by all necessary corporate and shareholder action, and Purchaser Buyer shall have received copies of all resolutions pertaining to that authorization, certified by the secretary of PurchaserSeller.
