Common use of Corporate Books and Records Clause in Contracts

Corporate Books and Records. Except as set forth in Section 3.1(d) of the Disclosure Schedule, the minute books of the Company and the Subsidiaries contain accurate records of all meetings and accurately reflect all other actions taken by the stockholders, Boards of Directors and all committees of the Boards of Directors of the Company and the Subsidiaries. To the extent requested, true and accurate copies of all such minute books and of the stock register of the Company and the Subsidiaries have been provided by the Company to Purchasers.

Corporate Books and Records. Except as set forth in Section 3.1(d) 3.05 of the Disclosure Schedule, the minute books of the Company Seller and the Subsidiaries contain in all material respects accurate records of all meetings and accurately reflect in all material respects all other actions taken by the stockholders, Boards of Directors and all committees of the Boards of Directors of the Company Seller and the Subsidiaries. To the extent requested, true Complete and accurate copies of all such minute books and of the stock register of the Company Seller and the Subsidiaries each Subsidiary have been provided by the Company Seller to Purchasersthe Purchaser.
