Corporate Consortium Board of Directors. 2.6.1. The Boards acknowledge and agree that each Board shall appoint three (3) members to the Board of Directors of the Corporate Consortium. The Board of Directors will consist of one (1) trustee, one (1) senior staff member, and one (1) other staff member of each Board, unless otherwise agreed to in writing by all parties. Further, each Board may appoint a designate to replace an appointed member of the Board of Directors during occasional absences, subject to the provisions of the Corporations Act (Ontario) and the Corporate Consortium bylaws. Each of the parties acknowledges and agrees that notwithstanding anything elsewhere set out in the Letters Patent or bylaw of the Corporate Consortium, no formal resolutions of the directors of the Corporate Consortium will be passed unless a quorum of the directors of the Corporate Consortium have voted thereon, or have signed a written resolution in lieu thereof.

  • Board of Directors The Board of Directors of the Company is comprised of the persons set forth under the heading of the Pricing Prospectus and the Prospectus captioned “Management.” The qualifications of the persons serving as board members and the overall composition of the board comply with the Exchange Act, the Exchange Act Regulations, the Xxxxxxxx-Xxxxx Act of 2002 and the rules promulgated thereunder (the “Xxxxxxxx-Xxxxx Act”) applicable to the Company and the listing rules of the Exchange.
