Corporate Documents; Proceedings; etc. (a) The Bank shall have received a certificate, dated the Effective Date, signed by any authorized officer of each Borrower, and attested to by the Secretary or any Assistant Secretary of such Borrower, in the form of Exhibit D with appropriate insertions, together with copies of the Articles of Incorporation and By-Laws or Declaration of Trust of such Borrower and the resolutions of such Borrower referred to in such certificate, and the foregoing shall be acceptable to the Bank. (b) All corporate and legal proceedings and all instruments and agreements in connection with the transactions contemplated by this Agreement and the other Credit Documents shall be satisfactory in form and substance to the Bank and the Bank shall have received all information and copies of all documents and papers, including records of corporate proceedings, governmental approvals, good standing certificates and bring-down telegrams, if any, which the Bank reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate or governmental authorities.

Corporate Documents; Proceedings; etc. (a) The Bank Purchasers shall have received a an officer's certificate, dated the Effective Date, signed by any authorized officer date of each Borrower, and attested to by the Secretary or any Assistant Secretary of such BorrowerFirst Draw Down, in the form of Exhibit D hereto, with appropriate insertions, together with copies of the Articles Certificates of Incorporation and By-Laws (or Declaration equivalent organizational documents) of Trust of such Borrower the Company and the Delaware Sub and the resolutions of such Borrower the Company and the Delaware Sub referred to in such certificate, and the foregoing shall be reasonably acceptable to the BankPurchasers. (b) All corporate and legal proceedings and all material instruments and agreements in connection with the transactions contemplated by this Agreement and the other Credit Documents Transaction shall be reasonably satisfactory in form and substance to the Bank Purchasers, and the Bank Purchasers shall have received all information and copies of all documents and papers, including records of corporate proceedings, governmental approvals, good standing certificates and bring-down telegramstelegrams or facsimiles, if any, which the Bank Purchasers reasonably may have requested in connection therewith, such documents and papers where appropriate to be certified by proper corporate or governmental authorities.
