Corporate Documents; Proceedings; etc. (a) On the Amendment and Restatement Effective Date, the Administrative Agent shall have received a certificate from each Credit Party, dated the Amendment and Restatement Effective Date, signed by the Secretary or Assistant Secretary of such Credit Party, and attested to by a Responsible Officer of such Credit Party, in the form of Exhibit E with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) below, the certificate or articles of incorporation and by-laws (or equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in customary form.

Corporate Documents; Proceedings; etc. (a) On the Amendment and Restatement Effective Closing Date, the Administrative Agent shall have received a certificate from each Credit Party, dated the Amendment and Restatement Effective Closing Date, signed by the Secretary or Assistant Secretary of such Credit Party, and attested to by a Responsible Officer of such Credit Party, in the form of Exhibit E with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) below, the certificate or articles of incorporation and by-laws (or equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in customary form.

Corporate Documents; Proceedings; etc. (a) On the Amendment and Restatement Effective Date, the Administrative Agent shall have received a certificate from each Credit Partycertificate, dated the Amendment and Restatement Effective Date, signed by the Secretary or an Assistant Secretary of such each Credit Party, and attested to by Party (or from the Secretary or an Assistant Secretary of the general partner of each Credit Party that is a Responsible Officer of such Credit Partylimited partnership), in the form of Exhibit E F with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) belowdeclaration of trust, the certificate or articles of incorporation and by-laws or other organizational documents (or equivalent organizational documents), as applicable, including partnership agreements and certificates of partnership and limited liability company agreements and certificates of limited liability company and any shareholder agreements) of each such Credit Party and the resolutions of such each Credit Party referred to in such certificate, and each of the foregoing shall be in customary formreasonably acceptable to the Administrative Agent.

Corporate Documents; Proceedings; etc. (a) On the Amendment and Restatement Effective Date, the Administrative Agent shall have received a certificate from each Credit Party, each dated the Amendment and Restatement Effective Date, Date and signed by the Secretary or Assistant Secretary any authorized officer of such Credit Party, and attested to by a Responsible Officer the Secretary or any Assistant Secretary of such Credit Party, in the form of Exhibit E F with appropriate insertions, together with copies of the good standing certificates set forth in clause (b) below, the such Credit Party's certificate or articles of incorporation and by-laws (or equivalent organizational documents), as applicable, of such Credit Party and the resolutions of such Credit Party referred to in such certificate, and each of the foregoing shall be in customary formform and substance reasonably satisfactory to the Co-Arrangers.
