Corporate Existence, Licenses and Permits; Maintenance of Properties. The Company shall at all times use commercially reasonable efforts to do or cause to be done all things necessary to maintain, preserve and renew its existence as a corporation organized under the laws of a state of the United States of America, and to preserve and keep in force and effect, and cause each of its consolidated Subsidiaries to apply for on a timely basis, all licenses and permits necessary and material to the conduct of the business of the Company and its Subsidiaries, taken as a whole.

So long as any Holder shall hold any Series B Shares, the Company will at all times use commercially reasonable efforts to do or cause to be done all things necessary to maintain, preserve and renew its existence as a corporation organized under the laws of a state of the U.S., preserve and keep in force and effect, and cause any subsidiary to apply for on a timely basis, preserve and keep in force and effect, all licenses and permits necessary and material to the conduct of the business of the Company and any consolidated subsidiary, taken as a whole, and to maintain and keep, and cause any subsidiary to maintain and keep, its and their respective properties in good repair, working order and condition (except for normal wear and tear), and from time to time to make all needful and proper repairs, renewals and replacements, including, without limitation, all trade name and trademark registration renewals, in each case so that any business material to the Company carried on in connection therewith may be properly and advantageously conducted.

So long as any of the New Subordinated Notes shall remain outstanding, the Company will at all times cause to be done all things necessary to maintain, preserve and renew its existence as a corporation organized under the laws of a state of the United States of America and will preserve and keep in force and effect, and cause each of its Subsidiaries to preserve and keep in force and effect, all licenses and permits necessary and material to the conduct of its and their respective businesses, and will maintain and keep, its and their respective properties in good repair, working order and condition (except for normal wear and tear), and from time to time make all needful and proper repairs, renewals and replacements, including without limitation all copyright registration renewals, so that any business material to the Company carried on in connection therewith may be properly conducted at all times.

The Company shall maintain and keep, and shall cause each of its Subsidiaries to maintain and keep, its and their respective properties in good repair, working order and condition, and from time to time, to make all needful and proper repairs, renewals and replacements, so that the business carried on in connection therewith may be properly conducted at all times. 6

The Company will at all times cause to be done all things necessary to maintain, preserve and renew the existence of each of the Company and Old Matador as a corporation organized under the laws of a state of the United States of America (except in connection with a merger or consolidation in which the Company or Old Matador is not the surviving corporation) and will do all things reasonably necessary to preserve and keep in force and effect, and cause each of the Company's Subsidiaries to preserve and keep in force and effect, all patents, trademarks, service marks, trade names, copyrights, licenses and permits necessary and material to the conduct of its and their respective businesses, and will maintain and keep, and cause each of the Company's Subsidiaries to maintain and keep, its and their properties in working order and condition (except for normal wear and tear), and from time to time make all repairs, renewals and replacements in accordance with standards of a reasonable and prudent operator of oil and gas properties.

The Company will at all times do or cause to be done all things necessary to maintain, preserve and renew its existence as a corporation organized under the laws of a state of the United States of America, will preserve and keep in force and effect, and cause each of its Subsidiaries to preserve and keep in force and effect, all licenses and permits necessary to the conduct of its and their respective businesses and will maintain and keep, and will cause each of its Subsidiaries to maintain and keep, its and their respective properties in good repair, working order and condition, and from time to time make all necessary and proper repairs, renewals and replacements, so that the business carried on in connection therewith may be properly and advantageously conducted at all times in the normal course of business as conducted prior to the date of repair; provided, however, that nothing contained in this paragraph 5E shall prevent the Company or any Subsidiary from ceasing or omitting to exercise any right, license or permit or to make any repair, renewal or replacement that (i) in the reasonable judgment of the Company or such Subsidiary is no longer in the best interests of the Company or such Subsidiary and (ii) such cessation or omission could not result in a material adverse effect on the business, condition (financial or other), assets, properties, operations or prospects of the Company and its Subsidiaries taken as a whole.
