Common use of Corporate Good Standing and Certified Board Resolutions Clause in Contracts

Corporate Good Standing and Certified Board Resolutions. Buyer shall deliver to Seller a certificate of good standing from the Secretary of State of its state of organization dated the most recent practical date prior to Closing and a certified copy of the resolutions of the Board of Directors of Buyer approving this Agreement and consummation of the transactions hereunder contemplated.

Buyer shall deliver to Seller Sellers a certificate of good standing from of the Secretary of State of its Buyer's state of organization dated the most recent practical date prior to Closing and together with a certified copy of the resolutions of the Board of Directors of the Buyer approving authorizing the execution, delivery and consummation of this Agreement and the execution, delivery and consummation of the transactions hereunder contemplatedall other agreements and documents executed in connection herewith by Buyer, and certified by an officer of Buyer to be validly adopted and in full force and effect and unamended as of Closing.
