Obligations of Buyer at Closing. At Closing, Buyer shall deliver or cause to be delivered to Seller the following in a form and substance reasonably satisfactory to Seller:
Obligations of Buyer at Closing. At Closing, Buyer shall deliver or cause to be delivered to Seller, unless waived by Seller, the following:
(a) the Closing Amount by wire transfer;
(b) originals of the Buyer Certificate executed by Buyer;
(c) originals of the Transition Services Agreement executed by Buyer; and
(d) evidence substantiating the replacement of the Security Arrangements pursuant to Section 8.3. Buyer shall take such other actions and deliver such other documents as are contemplated by this Agreement.
Obligations of Buyer at Closing. At closing Buyer shall deliver to Seller the following:
14.3.2 All consideration described herein.
14.3.3 Such other certificates and documents as may be called for by the provisions of this Agreement.
Obligations of Buyer at Closing. At the Closing, Buyer shall execute and deliver to Seller, unless waived by Seller, the following:
(a) The Assignment and Xxxx of Sale;
(b) The portion of Adjusted Purchase Price to be paid at Closing by wire transfer in accordance with written instructions obtained from Seller and reflected in the Preliminary Settlement Statement;
(c) The Certificate provided for in Section 13.2 (c);
(d) The Note;
(e) The Participation Agreement provided for in Section 13.1 (d) and the AMI Agreement provided for in Section 13.2 (d);
(f) Such other instruments as necessary to carry out Buyer’s obligations under this Agreement; and
(g) Documentation acceptable to Seller and Buyer with respect to the obligations hereunder to be assumed by Buyer with respect to the matters set forth on Schedules 3.1.
Obligations of Buyer at Closing. At Closing, Buyer shall deliver or cause to be delivered to Shareholders the following in a form and substance reasonably satisfactory to Shareholders:
Obligations of Buyer at Closing. At the Closing, Buyer shall deliver or cause to be delivered the following documents, and take such other actions as are identified below:
(a) the Purchase Price pursuant to Section 3.1; and
(b) all other documents and instruments as may be necessary to consummate the transactions contemplated by this Agreement, including the Security Agreement.
Obligations of Buyer at Closing. At the Closing, the Buyer will deliver to the Seller the consideration provided under Section 2.2 and copies of the corporate resolutions necessary to authorize the execution, delivery and performance of this Agreement and the applicable Collateral Documents by the Buyer.
Obligations of Buyer at Closing. At the closing Buyer shall delivery to Seller the following:
14.3.1 Stock certificates of 2,200,000 shares made out to Seller as per Exhibit "B".
14.3.2 Such other certificates and documents as may be called for by the provisions of this Agreement.
