Corporate Minute Books Sample Clauses

Corporate Minute Books. The corporate minute books of the Company are complete and the minutes and consents contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by the Company which required director or shareholder approval are reflected on the corporate minute books of the Company. The Company is not in violation or breach of, or in default with respect to, any term of its Articles of Incorporation or by-laws.
Corporate Minute Books. The corporate minute books of AUGI and its subsidiaries are complete and each of the minutes contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by AUGI and its subsidiaries which required director or shareholder approval are reflected on the corporate minute books of AUGI and its subsidiaries. AUGI and its subsidiaries are not in violation or breach of, or in default with respect to, any term of their respective Certificates of Incorporation (or other charter documents) or by-laws.
Corporate Minute Books. The corporate minute books of the Corporation which have been made available to the Purchaser for inspection are complete and correct in all material respects and contain a record of all of the proceedings of the shareholders and directors of the Corporation through the date hereof. A true and complete list of the incumbent directors and officers of the Corporation is set forth in SCHEDULE 2.4 hereto.
Corporate Minute Books. Except with respect to the proceedings of the compensation committee of Vyteris' Board of Directors, the corporate minute books of Vyteris shall be complete in all material respects prior to July 15, 2004 and the minutes and consents contained therein shall, prior to July 15, 2004, accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All material actions by Vyteris which required director or shareholder approval shall, prior to July 15, 2004, be reflected in the corporate minute books of Vyteris. Except for any violation, breach or default arising from the fact that Treasure Mountain does not have sufficient authorized shares of common stock or preferred stock to cover all of the shares of Treasure Mountain capital stock issuable hereunder, Vyteris is not in material violation or breach of, or in material default with respect to, any term of its Certificate of Incorporation (or other charter documents) or by-laws.
Corporate Minute Books. The corporate minute books of SUNO and its subsidiaries are complete and each of the minutes contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by SUNO and its subsidiaries which required director or shareholder approval are reflected on the corporate minute books of SUNO and its subsidiaries. SUNO and its subsidiaries are not in violation or breach of, or in default with respect to, any term of their respective Certificates of Incorporation (or other charter documents) or by-laws.
Corporate Minute Books. The corporate minute books of Piper and its subsidiaries are complete and each of the minutes contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by Piper and its subsidiaries which required director or shareholder approval are reflected on the corporate minute books of Piper and its subsidiaries. Piper and its subsidiaries are not in violation or breach of, or in default with respect to, any term of their respective Certificates of Incorporation (or other charter documents) or by-laws.
Corporate Minute Books. The corporate minute books of MailTec and its subsidiaries are complete and each of the minutes contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by MailTec and its subsidiaries which required director or shareholder approval are reflected on the corporate minute books of MailTec and its subsidiaries. MailTec and its subsidiaries are not in violation or breach of, or in default with respect to, any term of their respective Certificates of Incorporation (or other charter documents) or by-laws.
Corporate Minute Books. The corporate minute books of ProVision are complete and each of the minutes contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by ProVision which required director or shareholder approval are reflected on the corporate minute books of ProVision. ProVision is not in violation or breach of, or in default with respect to, any term of its Certificates of Incorporation (or other charter documents) or by-laws.
Corporate Minute Books. The corporate minute books of Boundless and its subsidiaries are complete and each of the minutes contained therein accurately reflect the actions that were taken at a duly called and held meeting or by consent without a meeting. All actions by Boundless and its subsidiaries, which required director or shareholder approval, are reflected on the corporate minute books of Boundless and its subsidiaries. Boundless and its subsidiaries are not in violation or breach of, or in default with respect to, any term of their respective Certificates of Incorporation (or other charter documents) or by-laws.

All actions by SURGE which required director or shareholder approval are reflected on the corporate minute books of SURGE. SURGE is not in violation or breach of, or in default with respect to, any term of its Certificates of Incorporation (or other charter documents) or by-laws.
