Corporate Proceedings of the Credit Parties. The Administrative Agent shall have received, with a photocopy for each Lender, a copy of the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the board of directors of each Credit Party authorizing, as applicable, (i) the execution, delivery and performance of this Agreement, any notes and the other Credit Documents and the other Transaction Documents to which it is or will be a party as of the Closing Date, (ii) in the case of the Borrower, the Extensions of Credit to the Borrower and (iii) the granting by it of the Liens to be created pursuant to the Security Documents to which it is or will be a party as of the Closing Date, certified by the Secretary or an Assistant Secretary of such Credit Party as of the Closing Date, which certificate shall be in form and substance reasonably satisfactory to the Administrative Agent and shall state that the resolutions thereby certified have not been amended, modified (except as any later such resolution may modify any earlier such resolution), revoked or rescinded and are in full force and effect.
Corporate Proceedings of the Credit Parties. The Administrative Agent shall have received a copy of the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the Board of Directors or duly authorized committee of each Credit Party authorizing (i) the execution, delivery and performance of this Agreement and the other Loan Documents to which it is a party, (ii) the borrowings and guarantees contemplated hereunder, and (iii) the granting by it of Liens created pursuant to the Loan Documents, and (iv) the other transactions contemplated hereby, certified by the Secretary, Assistant Secretary, or comparable officer of such Person as of the Closing Date, which certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded and shall be in form and substance reasonably satisfactory to the Specified Agent.

The Administrative Agent shall have received, with a copy for each Lender, a copy of the resolutions, in form and substance satisfactory to the Administrative Agent, of the Board of Directors or duly authorized committee of each of Holdings, the Borrower and Camden authorizing (i) the execution, delivery and performance of this Agreement, the other Loan Documents and the Camden Acquisition Documents to which it is a party, (ii) the borrowings contemplated hereby and (iii) the transactions contemplated by the Camden Acquisition (to the extent applicable to such Person), certified by the Secretary or an Assistant Secretary of each of Holdings, the Borrower and Camden as of the Second Amendment Closing Date, which certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded and shall be in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received, with a copy for each Lender, a copy of the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the Board of Directors or duly authorized committee of each of the Credit Parties authorizing (i) the execution, delivery and performance of this Amendment and the other Loan Documents to which it is a party and certified by the Secretary or an Assistant Secretary of each of the Credit Parties as of the Effective Date, which certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded and shall be in form and substance reasonably satisfactory to the Administrative Agent.
Corporate Proceedings of the Credit Parties. The Agent shall have received, with a counterpart for each Bank, a copy of the resolutions, in form and substance satisfactory to the Agent, of the Board of Directors of each of the Credit Parties authorizing (i) the execution, delivery and performance of the Loan Documents, and the granting continuation of the Liens provided for in the Security Documents to which it is a party, and (ii) in the case of HCC, the borrowings contemplated hereunder, certified by the Secretary or an Assistant Secretary of each such Credit Party as of the Closing Date, which certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded and shall be in form and substance satisfactory to the Agent.

The Administrative Agent shall have received, with a copy for each Lender, a copy of the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the Board of Directors or duly authorized committee of each of Holdings, each Borrower and its applicable Subsidiaries authorizing (i) the execution, delivery and performance of this Agreement, the other Amendment Documents to which it is a party, (ii) the borrowings contemplated hereunder, and (iii) if applicable, the Chips Acquisition and the Contribution, certified by the Secretary, Assistant Secretary, or comparable officer of such Person as of the Chips Closing Date, which certificate shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded and shall be in form and substance reasonably satisfactory to the Specified Agent.

The Administrative Agent shall have received, with a photocopy for each Lender, a copy of the resolutions, in form and substance reasonably satisfactory to the Administrative Agent, of the Board of Directors or comparable body of each Credit Party authorizing (i) the execution, delivery and performance of each Credit Document to which such Credit Party is a party, (ii) in the case of any Borrower, the borrowings contemplated hereunder and (iii) the granting by such Credit Party of Liens pursuant to the Collateral Agreement, certified by the Secretary, an Assistant Secretary or other officer of such Credit Party as of the Closing Date, which certificate shall be in form and substance reasonably satisfactory to the Administrative Agent and shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded except as any later such resolution may modify any earlier such resolution.

Corporate Proceedings of the Credit Parties. The Purchasers shall have received a copy of the resolutions, in form and substance satisfactory to the Purchasers, of each of the Board of Directors of the Parent, the Company and KAG Logistics, Inc., as applicable, authorizing the execution, delivery and performance of this Fourth Amendment and the Fourth Amendment Documents.
