Common use of Corporate Proceedings of the Trust Company Clause in Contracts

Corporate Proceedings of the Trust Company. On the Initial Closing Date, the Agent, the Investors and the Lessee shall have received a copy of the resolutions, in form and substance reasonably satisfactory to the Agent, both Investors and the Lessee, of the Board of Directors of the Trust Company authorizing the execution, delivery and performance of the Operative Agreements to which it is a party, certified by the Secretary or an Assistant Secretary of the Trust Company as of the Initial Closing Date, which certificate shall be in form and substance satisfactory to the Agent, both Investors and the Lessee and shall state that the resolutions thereby certified have not been amended, modified, revoked or rescinded;
