Corporate Resolutions and Approvals. The Revolver Agent shall have received certified copies of the resolutions of the Board of Directors or equivalent governing body of such Canadian Borrower, approving the Loan Documents to which such Canadian Borrower is or may become a party, and of all documents evidencing other necessary corporate action and governmental approvals, if any, with respect to the execution, delivery and performance by such Canadian Borrower of the Loan Documents to which it is or may become a party.
