Common use of Corporate Resolutions and Approvals Clause in Contracts

Corporate Resolutions and Approvals. The Administrative Agent shall have received certified copies of the resolutions of the Board of Directors (or similar governing body) of each Effective Date Subsidiary Guarantor approving the Loan Documents to which such Effective Date Subsidiary Guarantor is or may become a party, and of all documents evidencing other necessary corporate or other organizational action, as the case may be, and governmental approvals, if any, with respect to the execution, delivery and performance by such Effective Date Subsidiary Guarantor of the Transactions and the Loan Documents to which it is a party and the expiration of all applicable waiting periods, all of which documents to be in form and substance reasonably satisfactory to the Administrative Agent.
