Corporate Status of the Company. The Company is a corporation duly organized, validly existing and in good standing under the laws of the State of Florida. The Company is qualified to do business and in good standing in each jurisdiction where the operation of its business requires that it be so qualified. The Company has all requisite corporate power and authority to own, operate and sell its properties and assets, to conduct its business as it is now being conducted, to execute, deliver and perform its obligations under this Agreement and to consummate the transactions contemplated hereby.
