Common use of Corporation Authorization Clause in Contracts

Corporation Authorization. The execution, delivery and performance by Parent and Acquisition Sub of this Agreement and the consummation by Parent and Acquisition Sub of the transactions contemplated hereby are within the corporate powers of Parent and the corporate powers of Acquisition Sub and have been duly authorized by all necessary corporate action. This Agreement constitutes a valid and binding agreement of Parent and Acquisition Sub, enforceable against Parent and Acquisition Sub in accordance with its terms, subject to the effect of any applicable bankruptcy, insolvency, moratorium or similar law affecting creditors’ rights generally and to rules of law governing specific performance, injunctive relief and other equitable remedies.

Corporation Authorization. The execution, execution and delivery and performance by Parent and Acquisition Sub of this Agreement and the consummation by Parent and Acquisition Sub of the transactions contemplated hereby are within the corporate powers of Parent and the corporate powers of Acquisition Sub and have been duly authorized by all necessary corporate or other action. This Agreement Agreement, assuming the due authorization, execution and delivery by each other Stockholder, constitutes a the valid and binding agreement obligation of Parent and Acquisition Sub, enforceable against Parent and Acquisition Sub in accordance with its terms, subject to the effect (i) Laws of any applicable general application relating to bankruptcy, insolvency, moratorium or similar law affecting creditors’ rights generally insolvency and to the relief of debtors and (ii) rules of law governing specific performance, injunctive relief and other equitable remedies.
