Corporation Employee Stock Purchase Plan. (a) From and after the Effective Time, Moody's shall continue to sponsor the Corporation Employee Stock Purchase Plan. (b) As of the Effective Time, New D&B shall adopt the New D&B Employee Stock Purchase Plan for the benefit of New D&B Employees.
