COST OF TRANSFER. The Existing Stockholders who are parties to a sale to a Proposed Purchaser shall arrange for payment directly by the Proposed Purchaser to the Holder, upon delivery of the certificate representing the Warrant Shares to be sold, duly endorsed for transfer, together with such other documents as the Proposed Purchaser may reasonably request. The Company shall be responsible for and pay the costs and expenses (including the reasonable fees and disbursements of counsel) incurred by the Holder in connection with a sale to a Proposed Purchaser, whether or not such sale is consummated.
