Costs and Expenses Indemnification Other Charges. (A) The Company shall pay, indemnify, and hold the Trustee, each Holder and each of their respective Affiliates, officers, directors, employees, counsel, agents and attorneys-in-fact harmless from and against any and all liabilities, obligations, losses, damages, penalties, actions, judgments, suits, costs, charges, expenses or disbursements, of any kind or nature whatsoever in accordance with the terms and conditions of the Indenture except to the extent arising from the Trustee's or such Holder's gross negligence, bad faith, wilful misconduct or fraud.

Costs and Expenses Indemnification Other Charges. (A) The Company Guarantors shall pay, indemnify, and hold the Trustee, each Holder and each of their respective Affiliates, officers, directors, employees, counsel, agents and attorneys-in-fact harmless from and against any and all liabilities, obligations, losses, damages, penalties, actions, judgments, suits, costs, charges, expenses or disbursements, of any kind or nature whatsoever in accordance with the terms and conditions of the Indenture except to the extent arising from the Trustee's or such Holder's gross negligence, bad faith, wilful misconduct or fraud.
