Costs, expenses and duties. Except as expressly provided in this Agreement: (a) each Party must pay its own costs and expenses of negotiating, preparing and executing this Agreement and any other instrument executed under this Agreement; and (b) the Access Seeker: (i) must pay all stamp duty (including interest, fines and penalties) payable on this Agreement, the performance of this Agreement (including the transfer of any property) and any transaction contemplated by it; and (ii) indemnifies the Multiplex Licensee against any failure to comply with clause 23.4(b)(i).
