Costs Includable in TI Fund. The TI Fund shall be used solely for the payment of design, permits and construction costs in connection with the construction of the Tenant Improvements, including, without limitation, the cost of electrical power and other utilities used in connection with the construction of the Tenant Improvements, the cost of preparing the Space Plan and the TI Construction Drawings, all costs set forth in the Budget, including Landlord’s Administrative Rent, costs resulting from Tenant Delays and the cost of Changes (collectively, “TI Costs”). Notwithstanding anything to the contrary contained herein, the TI Fund shall not be used to purchase any furniture, personal property or other non-Building system materials or equipment, including, but not limited to, Tenant’s voice or data cabling, non-ducted biological safety cabinets and other scientific equipment not incorporated into the Tenant Improvements. Notwithstanding anything to the contrary contained in this Work Letter, the TI Costs shall not include and Landlord shall be responsible for the following costs in connection with the Tenant Improvements (the “TI Cost Exclusions”): (a) costs incurred as a result of the presence of Hazardous Materials in the Premises; (b) costs triggered by the Tenant Improvements to bring the Building (outside of the Premises) into compliance with Legal Requirements, (c) costs of the Life/Safety System, and (d) costs to remove any pre-existing data or telecommunication lines or cabling with a terminus outside of the Premises (regardless of whether any such lines or cabling originate from the Premises).

Notwithstanding anything to the contrary contained herein, except with respect to Acceptable Items as provided in Section 5(c) above, the TI Fund shall not be used to purchase any furniture, personal property or other non-Building system materials or equipment, including, but not limited to, Tenant’s voice or data cabling, non-ducted biological safety cabinets and other scientific equipment not incorporated into the Tenant Improvements.
