Common use of Counsel and Assistance Clause in Contracts

Counsel and Assistance. If either party brings an action under Section 11.2, or 11.3, such party will be entitled to control such action, hire and retain counsel, make decisions, settle on any terms, provided that a party joining the action may be represented by counsel of its choice. At the request and expense of either party, the other party will give the requesting party all reasonable assistance required to file and conduct any such proceeding.
