Counterparts Permitted. This Agreement may be executed in two or more counterparts, each of which shall be deemed to be an original.

Counterparts Permitted. 18.1 The Agreement and any amendment of this Agreement may be executed and delivered in any number of counterparts, each of which when executed and delivered is an original but all of which taken together constitute one and the same instrument. To evidence the fact that it has executed this Agreement, each party respectively may deliver a copy of its executed counterpart to the other party by facsimile transmission or email, and together, such executed facsimile or email counterparts form a complete, executed and binding Agreement. 18.2 Words in the singular include the plural and vice versa. Words implying gender include their genders where the context so requires.

Either party may execute this MOU by facsimile signature and the other party will be entitled to rely on such facsimile signature as conclusive evidence that this MOU has been duly executed by such party
