Common use of County Cooperation Clause in Contracts

County Cooperation. In its proprietary capacity, the Department shall cooperate with and assist Concessionaire, to the extent reasonably requested by Concessionaire, in Concessionaire’s efforts to obtain the appropriate governmental approvals, consents, permits or variances which may be required in connection with the performance by Concessionaire of the Redevelopment Work, as applicable. Such cooperative efforts may include the Department’s joinder in any application for such approval, consent, permit or variance, where joinder therein by the Department is required or helpful; provided, however, that Concessionaire shall reimburse County for the Actual Cost incurred by the Department in connection with such joinder or cooperative efforts. Notwithstanding the foregoing, Concessionaire and County acknowledge that the approvals given by County under this Contract are approvals pursuant to its authority under Sections 25536 and 25907 of the California Government Code; that approvals given under this Contract in no way release Concessionaire from obtaining, at Concessionaire’s expense, all permits, licenses and other approvals required by law for the construction of Improvements on the Premises and operation and other use of such Improvements on the Premises; and that the Department’s duty to cooperate and County’s approvals under this Contract do not in any way modify or limit the exercise of County’s governmental or regulatory functions or decisions as distinct from its proprietary functions pursuant to this Contract.

In its proprietary capacity, the Department of Beaches and Harbors of the County of Los Angeles (the “Department”) shall cooperate with and assist ConcessionaireXxxxxx, to the extent reasonably requested by ConcessionaireXxxxxx, in ConcessionaireXxxxxx’s efforts to obtain the appropriate governmental approvals, consents, permits or variances which may be required in connection with the performance by Concessionaire of the Redevelopment Work, as applicableEntitlements. Such cooperative efforts may include the Department’s joinder in any application for such approval, consent, permit or variancethe Entitlements, where joinder therein by the Department is required or helpful; provided, however, that Concessionaire Xxxxxx shall reimburse County for the Actual Cost Costs (as defined in the form of Restated Lease) incurred by the Department in connection with such joinder or cooperative efforts. Notwithstanding the foregoing, Concessionaire Lessee and County acknowledge that the approvals given by County under this Contract are Agreement and/or the Restated Lease shall be approvals pursuant to its authority under Sections Section 25536 and or 25907 of the California Government CodeCode and given in its proprietary capacity; that approvals given under this Contract Agreement and/or the Restated Lease in no way release Concessionaire Lessee from obtaining, at ConcessionaireLessee’s expense, all permits, licenses and other approvals required by law for the construction of Improvements on the Premises Renovation Work and operation and other use of such Improvements on the PremisesPremises and Improvements; and that the Department’s duty to cooperate and County’s approvals under this Contract Agreement and/or the Restated Lease do not in any way modify or limit the exercise of County’s governmental or regulatory functions or decisions as distinct from its proprietary functions pursuant to this ContractAgreement and/or the Restated Lease.
