Court Order, Government Actions. (a) Any Government Authority shall have condemned, nationalized, seized, or otherwise expropriated all or any part of the property or other assets of any of the Borrower, or shall have assumed custody or Control in any of the Borrower or their property or other assets or of the business or operations of any of the Borrower or shall have taken any action for the dissolution of any of the Borrower or any action that would prevent the Borrower or their officers from carrying on its business or operations or a substantial part thereof;

No event has occurred or circumstances exist that may give rise to, or serve as a basis for, any such Action.

  • Legal Proceedings; Orders (a) Except as set forth in Part 3.15 of the Disclosure Letter, there is no pending Proceeding:

  • Actions Before Governmental Authorities There are no actions, suits or proceedings at law or in equity or by or before any governmental authority now pending or, to the knowledge of Borrower, threatened against or affecting Borrower or its property, that is reasonably expected to result in a Material Adverse Effect.

  • No Actions or Court Orders No Action by any governmental authority or other person shall have been instituted or threatened which questions the validity or legality of the transactions contemplated hereby and which could reasonably be expected to damage Seller materially if the transactions contemplated hereby are consummated. There shall not be any Regulation or Court Order that makes the purchase and sale of the Business or the Assets contemplated hereby illegal or otherwise prohibited.
