Common use of Court-Ordered Indemnification Clause in Contracts

Court-Ordered Indemnification. Regardless whether the Director has met the standard of conduct set forth in SECTIONS 1, 2 and 3 hereof, as the case may be, and notwithstanding the presence or absence of any Determination whether such standards have been satisfied, the Director may apply for indemnification to the court conducting any proceeding to which the Director is a party or to any other court of competent jurisdiction. On receipt of an application, the court, after giving any notice the court considers necessary, may order indemnification if it determines the Director is fairly and reasonably entitled to indemnification in view of all the relevant circumstances (including this Agreement).
