Employment Status. This Agreement does not constitute a contract of employment or impose upon Executive any obligation to remain as an employee, or impose on the Company any obligation (i) to retain Executive as an employee, (ii) to change the status of Executive as an at-will employee or (iii) to change the Company’s policies regarding termination of employment.

Employment Status. Except as may be provided under any other agreement between the Executive and the Company, the employment of the Executive by the Company is “at will,” and may be terminated by either the Executive or the Company at any time, subject to applicable law.
Employment Status. This Agreement is not, and nothing herein shall be deemed to create, an employment contract between the Executive and the Company or any of its subsidiaries. The Executive acknowledges that the rights of the Company remain wholly intact to change or reduce at any time and from time to time his compensation, title, responsibilities, location, and all other aspects of the employment relationship, or to discharge him prior to a Change in Control (subject to such discharge possibly being considered a Qualifying Termination pursuant to Section 2.2).
Employment Status. The Adviser is not aware that (A) any executive, key employee or significant group of employees of the Company, if any, any of the Subsidiaries, the Adviser or the Administrator, as applicable, plans to terminate employment with the Company, any of the Subsidiaries, the Adviser or the Administrator or (B) any such executive or key employee is subject to any noncompete, nondisclosure, confidentiality, employment, consulting or similar agreement that would be violated by the present or proposed business activities of the Company, the Subsidiaries or the Adviser except where such termination or violation would not reasonably be expected to have a Material Adverse Effect.
Employment Status. ARCHITECT shall, during the entire term of Agreement, be construed to be an independent contractor and nothing in this Agreement is intended nor shall be construed to create an employer-employee relationship, a joint venture relationship, or to allow DISTRICT to exercise discretion or control over the professional manner in which the ARCHITECT performs the services which are the subject matter of this Agreement; provided always, however, that the services to be provided by ARCHITECT shall be provided in a manner consistent with all applicable standards and regulations governing such services. ARCHITECT understands and agrees that the ARCHITECT'S personnel are not and will not be eligible for membership in or any benefits from any DISTRICT group plan for hospital, surgical or medical insurance or for membership in any DISTRICT retirement program or for paid vacation, paid sick leave or other leave, with or without pay or for other benefits which accrue to a DISTRICT employee. Should DISTRICT, in its discretion, or a relevant taxing authority such as the Internal Revenue Service or the State Employment Development Department, or both, determine that ARCHITECT is an employee for purposes of collection of any employment taxes, the amounts payable under this Agreement shall be reduced by amounts equal to both the employee and employer portions of the tax due (and offsetting any credits for amounts already paid by ARCHITECT which can be applied against this liability). DISTRICT shall then forward those amounts to the relevant taxing authority. Should a relevant taxing authority determine a liability for past services performed by ARCHITECT for DISTRICT, upon notification of such fact by DISTRICT, ARCHITECT shall promptly remit such amount due or arrange with DISTRICT to have the amount due withheld from future payments to ARCHITECT under this Agreement (again, offsetting any amounts already paid by ARCHITECT which can be applied as a credit against such liability). A determination of employment status pursuant to the preceding two paragraphs shall be solely for the purposes of the particular tax in question, and for all other purposes of this Agreement, ARCHITECT shall not be considered an employee of DISTRICT. Notwithstanding the foregoing, should any court, arbitrator, or administrative authority determine that ARCHITECT is an employee for any other purpose, then ARCHITECT agrees to a reduction in DISTRICT’s liability resulting from this Agreement pursuant to ...

Employment Status. For purposes hereof, with respect to employees of the Company, employment shall not be considered as having terminated during any leave of absence if such leave of absence has been approved in writing by the Company and if such written approval contractually obligates the Company to continue the employment of the Optionee after the approved period of absence; in the event of such an approved leave of absence, vesting of this option shall be suspended (and the period of the leave of absence shall be added to all vesting dates) unless otherwise provided in the Company’s written approval of the leave of absence. For purposes hereof, a termination of employment followed by another Business Relationship shall be deemed a termination of the Business Relationship with all vesting to cease unless the Company enters into a written agreement related to such other Business Relationship in which it is specifically stated that there is no termination of the Business Relationship under this agreement. This option shall not be affected by any change of employment within or among the Company and its Subsidiaries so long as the Optionee continuously remains an employee of the Company or any Subsidiary.
