Common use of Covenant Against Hiring Clause in Contracts

Covenant Against Hiring. Seller and the Shareholders understand that in Buyer's view it is essential to the successful operation of a technical staffing business in the Territory that Buyer retain substantially unimpaired Seller's current operating organization. Seller and the Shareholders covenant and agree that neither of them, nor any affiliate of either of them, without the prior written consent of Buyer, shall take any action which would induce any employee, independent contractor or representative of Seller prior to the Effective Time not to become or continue as an employee, independent contractor or representative of Buyer.
