Common use of Covenant Breaches Clause in Contracts

Covenant Breaches. The Borrower, any Guarantor or any of their respective Subsidiaries shall fail to (i) perform or observe any covenant contained in Section 5.02(a), Section 5.03 (with respect to the Borrower’s existence), Section 5.06(e), Section 5.09 or Article VI or (ii) fail to perform or observe any other term or covenant set forth in this Agreement or in any other Loan Document which is not covered by clause (i) above or any other provision of this Section 7.01, if such failure shall remain unremedied for 30 days after the earlier to occur of (a) notice thereof to the Borrower by the Administrative Agent or (b) the Borrower otherwise becoming aware of such breach or failure;

Covenant Breaches. The Borrower, any Guarantor or any of their respective Subsidiaries shall fail to (i) perform or observe any covenant contained in Section 5.02(a), Section 5.03 (with respect to the Borrower’s existence), Section 5.06(e), Section 5.09 ) or Article VI or (ii) fail to perform or observe any other term or covenant set forth in this Agreement or in any other Loan Document which is not covered by clause (i) above or any other provision of this Section 7.01, if such failure shall remain unremedied for 30 days after the earlier to occur of (a) notice thereof to the Borrower by the Administrative Agent or (b) the Borrower otherwise becoming aware of such breach or failure;

Covenant Breaches. The Borrower, any Guarantor Any Loan Party or any of their respective Subsidiaries Subsidiary thereof shall fail to (i) perform or observe any covenant contained in Section 5.02(a), Section 5.03 (with respect to either Holdings’ or the Borrower’s existence), Section 5.06(e5.06(i), Section 5.09 5.09, or Article VI of this Agreement or (ii) fail to perform or observe any other term or covenant set forth in this Agreement or in any other Loan Document which is not covered by clause (i) above or any other provision of this Section 7.01, 7.01 if such failure shall remain unremedied for 30 days after the earlier to occur of (aA) notice thereof from the Administrative Agent to the Borrower by (which notice will be given at the Administrative Agent request of any Lender) or (bB) the Borrower a Responsible Officer otherwise becoming aware of such breach or failure;

The Borrower, any Guarantor or any of their respective Subsidiaries shall fail to (i) perform or observe any covenant contained in Section 5.02(a), Section 5.03 (with respect to the Borrower’s existence5.06(c), Section 5.06(e), Section 5.09 5.08, or Article VI or (ii) fail to perform or observe any other term or covenant set forth in this Agreement or in any other Loan Document which that is not covered by clause (i) above or any other provision of this Section 7.01, if such failure shall remain unremedied for 30 days after the earlier to occur of (aA) such Loan Party’s knowledge of such breach or failure and (B) the date notice thereof is given to the Borrower by the Administrative Agent or (b) the Borrower otherwise becoming aware of such breach or failureany Lender;

Covenant Breaches. The Borrower, any Guarantor or any of their respective Subsidiaries shall fail to (i) perform or observe any covenant contained in Section 5.02(a), Section 5.03 (with respect to the Borrower’s existence), Section 5.06(e), Section 5.09 5.12 or Article VI or (ii) fail to perform or observe any other term or covenant set forth in this Agreement or in any other Loan Document which is not covered by clause (i) above or any other provision of this Section 7.01, if such failure shall remain unremedied for 30 days after the earlier to occur of (a) notice thereof to the Borrower by the Administrative Agent or (b) the Borrower otherwise becoming aware of such breach or failure;
